AGREEMENT TO CONDUCT ESTATE SALE

agrees to consign the contents of the estate described below to:

 herein refered to as agent

Under the following terms and conditions:

Agent agrees to conduct an on-site estate/tag sale at the above location by advertising and inviting

potental buyers to attend a pre-priced on-site sale using the traditional tag sale format.

Agent will act on a best efforts basis in an effort to obtain a fair and reasonable price for the items.

Agent will perform the following services:

 

Advertise in local result producing newspapers.

notify local antique and merchandise buyers.

E-mail agent's list of active estate sale and tag sale buyers.

Promote sellers sale on estate sale web sites

Place appropriate signs directing buyers to sale location.

Call buyers who actively buy "special" items included in the estate.

Secure any necessary permits where required. (most towns don't)

Organize, display and make all the merchandise accessable.

Supply tables, racks, shelves & display cases for the sale.

Research unique items to get a fair price.

Price all valuable items with attention to ascertain the "right" price.

Embellish the sale by adding desirable items to attract more buyers.

Staff the sale with knowledgeable and courteous personel.

Negotiate and "make deals" assuring a fair price and a fast sale.

Record sale and reconcile the cash result.

help Arrange the sale, donation or disposal of leftovers

agent will sell leftover items suitable for auction by consigning those

items to a licensed auctioneer of agents choice.

 

The agent agrees to absorb and pay all expenses related to promoting and

conducting the sale including advertising, payroll, etc.

The seller agrees to pay a commission as follows:

Thirty percent (30%) of the gross sale price on every item sold for one thousand

dollars ($1000.00) or less.

Twenty percent (20%) of the gross sale price of any item sold at a price between

one thousand and one dollars ($1001.00) and five thousand dollars ($5000.00)

Fifteen percent (15%) of the gross sale price on any item sold for above five

thousand dollars($5000.00)

The same commissions will apply to leftover items consigned to auctions.

Any items included in the sale which are removed from the sale by the seller

will be subject to the aforementioned applicable commissions.

The minimum gross commission payable to the agent for the on site estate sale

will be two thousand five hundred dollars ($2500.00)

seller authorizes agent to deduct commissions from sale proceeds.

Other provisions concerning the conduct of the sale:

A) the agent will set the dates and hours of the sale.

B) the agent will have full access to the property in which the sale is conducted

from 9:00 am on the monday proceeding the sale until the last Sunday of

the sale week at 4:00 pm. Keys can be supplied to agent or the doors will

be left unlocked for access.

C) Seller should not be present during the selling hours of the event and should

not interfere with the conduct of the sale or the negotiation with the buyers.

D) agent and agents designated sales personel will have the sole authorization

to set prices and to discount and/or renegotiate prices with buyers. Agent will

leave certain items unpriced in order to invite conversation and negotiation.

E) Agent will make a reasonable effort to prevent breakage and theft, however

agent will not be responsible for payment or replacement of any items rendered

unsaleable by these causes.

F) the agent will accept personal and business checks tendered by buyers

know or properly identified to the agent. All checks are subject to the rules

and regulations of the State in which they are written and the bank in which

they are deposited.

G) sales taxes will not be collected by the agent based on the "casual sale" rule.

H) homeowners insurance will be in force on the location property at the time

of the sale.

I) buyers are solely responsible for the removal of the property they purchase.

buyers are required to remove items purchased before the end of the sale.

J) agent is not responsible for damage to the property caused by the buyers

during the removal of thier merchandise or during the conduct of the sale.

K) Seller will provide title and/or bill of sale for any property which by law

or common practice requires these documents. (auto, boat, etc.)

L) agent will not be responsible for any damage to the leftover merchandise

incidental to transporting said items to the auction houses.

M) This agreement is subject to the laws of the state in which the sale is

conducted.

N) Any agreement to alter the terms and conditions of this agreement

does not effect the validity of any of the other provisions.

O) In the event of a dispute between the seller and the agent, the parties

agree to settle by professional mediation.
